The five-year figure counts state government fees and, where one applies, the separate mandatory annual state tax shown above. It assumes a single-member LLC owned by an individual with little or no income. It excludes registered agent services, formation-service fees, publication costs, local business licenses, income-based state taxes (income, gross-receipts, B&O, sales) and any optional extras. Verified details
- Articles of Organization: $50.
- Annual statement: $25, due by February 15 each year; the first is skipped if the LLC was formed after September 30. Under MCL 450.5101(1)(g) the fee is $15 for statements paid after September 30, 2027. An LLC formed now owes its first statement by February 15, 2028, so every statement in the five-year window is $15 (we count $15 a year; an older LLC paying before October 2027 pays $25).
Annual reports and upkeep
Michigan filing cadence: Annual (due Feb 15; first statement Feb 2028 for an LLC formed now). Annual statement, $15 for statements paid after Sept 30, 2027 ($25 before then). How to form an LLC in Michigan

- File the formation document. The state filing fee is $50. Use the state's online filing portal where available; paper filing is slower.
- Write an operating agreement. Most states do not require you to file one, but banks and partners typically ask for it, and it sets ownership and decision rules. Operating agreement basics.
- Get an EIN. The IRS issues EINs for free through its online application. Beware of sites that charge for it.
- Open a business bank account and calendar the deadlines. Put the annual (due feb 15; first statement feb 2028 for an llc formed now) filing dates in a calendar so the LLC stays in good standing.
